Official Rules
 
  1. Agreement: These rules (the "Application Rules") govern the "Tour of Aphria Inc.'s Cannabis Institute Application Submissions" (the "Application"). No purchase is necessary to enter the Competition. Your participation in the Competition constitutes acceptance and agreement to all of the Application Rules and the decisions of the Sponsors, which decisions shall be final and binding upon all Entrants. 
 
The Selected Entrant will receive an all-expense paid education experience with a guest at Aphria Inc.'s Cannabis Institution, including, tours, education sessions, and all meals and ground transportation (altogether the "Award"), approximate retail value of $3,500.00.     
 
  1. Competition Sponsors: This Competition is sponsored and administered jointly by Meta Cannabis Supply Co., New Leaf Cannabis Ltd. and Aphria Inc. (collectively the "Sponsors" or individually a "Sponsor").   
 
  1. Competition Period: The Competition begins at 4:20 p.m. EST on April 20, 2019 and ends at 11:59 p.m. EST on May 11, 2019 (the "Application Submission Closing Date").
 
  1. EligibilityThe Competition is only open to legal residents of Canada (excluding residents of Quebec) who are eighteen years of age or older as of the time of entry (or nineteen years of age in Manitoba) (each an "Entrant"). In provinces/territories where the age of majority is nineteen, Entrants who are eighteen years old must have parental/guardian consent and must have a parent or legal guardian sign all required documentation. The following are not eligible to enter the Competition: a) directors, officers or employees of any of a Sponsor, their agents, affiliated or related companies, subsidiaries, divisions (collectively, the "Companies"); or (b) promotional agencies, members of the immediate family of, or persons domiciled with directors, officers or employees of any of the Companies.  
 
*Age of majority is eighteen in: Alberta, Manitoba, Ontario, Prince Edward Island, Quebec, and Saskatchewan. Age of majority is nineteen in: British Columbia, New Brunswick, Newfoundland, Northwest Territories, Nova Scotia, Nunavut, and Yukon.
 
  1. How to Enter: NO PURCHASE NECESSARY TO ENTER OR WIN
 
There are two ways to obtain an official entry for this Competition (each an "Entry" and collectively, the "Entries") during the Competition Period.
 
The eligible Entrant must visit www.metacannabis.com/420 or www.newleafcannabis.ca/420 and fully complete all of the required form fields. The eligible Entrant will then receive an email with instructions on how to submit their Entry. Thereafter, the eligible Entrant must take a photo or create a video illustrating "Why you want to tour Aphria Inc.'s Educational Institute"; and the eligible Entrant must share their Entry by one or both of the following:   Limit of one Instagram Entry or Facebook Entry per Entrant, for a maximum of one Entry per Entrant. Entries must be submitted in accordance with the Application Rules and received by the Sponsors no later than 11:59 p.m. EST on the Application Submission Closing Date. All Entries become the property of the Sponsors.
Entries that are incomplete or generated by script, macro or other automated or mechanical means, or that do not conform with or satisfy any or all of the conditions set out in these Application Rules will be void. Do not include any additional personal information about any friend/family in your Entry or otherwise include any reference to or likeness of identifiable third parties, unless consent has been obtained from all such individuals and such individuals have reached the age of majority in their jurisdiction of residence.
 
  1. Verification: The Sponsors reserve the right, in their sole and absolute discretion, to require proof of identity and/or eligibility (in a form acceptable to the Sponsors – including, without limitation, government issued photo identification): (i) for the purposes of verifying an individual's eligibility to participate in this Competition; (ii) for the purposes of verifying the eligibility and/or legitimacy of any Entry and/or other information entered (or purportedly entered) for the purposes of this Competition; and/or (iii) for any other reason the Sponsor deems necessary, in its sole and absolute discretion, for the purposes of administering this Competition in accordance with the Sponsors' interpretation of the letter and spirit of the Application Rules. Failure to provide such proof to the complete satisfaction of the Sponsors within the timeline specified by the Sponsors may result in disqualification of an Entrant in the sole and absolute discretion of the Sponsors (and, if disqualified, the Entrant will have their Entries deemed null and void). The sole determinant of the time for the purposes of this Competition will be the official time-keeping device(s) used by the Sponsors.
 
  1. Judging Panel and Selected EntrantFrom May 12th, 2019 to May 25th, 2019 (following the Application Submission Closing Date), a judging panel consisting of thirty of the Sponsors' Employees will review the Entries of all eligible Entrants. Each Entry will be rated using the below scorecard criterion.
 
The eligible Entrant that receives the highest overall score based on the below scorecard criterion will be selected to receive the Award (the "Selected Entrant").

The review of the Entries of all eligible Entrants for the Award will take place at the head office of National Access Cannabis Corp, located at 56 ABERFOYLE CRESCENT, UNIT 200, TORONTO ONTARIO M8X 2W4.
 
The Selected Entrant will be notified by May 27th, 2019 at the email address, social media address or phone number provided on the Selected Entrant's Entry.
 
The odds of winning the Award will depend on the number and quality of Entries from eligible Entrants and the "Like" and "Share" preferences of the Facebook and/or Instagram users viewing the Entries under the hashtags #AphriaCannabisInstitute, #META420 and #NewLeaf420 during the Award Period.
 
  1. The Award: There is one Award available to the Selected Entrant who is confirmed as the winner by the Sponsors (the "Confirmed Winner") consisting of an all-expense paid Education Experience with a guest at Aphria Inc.'s state-of-the-art greenhouse, including round-trip travel and accommodations, extensive guided tour, education sessions related to how Canada’s legal cannabis industry is changing the way their grass is grown and a Cannabis 101 session to learn about the unique properties of cannabis plants, and all meals and ground transportation. The total approximate retail value of the Award is $3,500.00.
 
The Award must be accepted as awarded between June 1st, 2019 and July 31st, 2019 and cannot be transferred, assigned, substituted or redeemed for cash. The Sponsors may, in their sole discretion, make substitutions of equivalent kind or approximate retail value, if a part of or the entire Award is not available. Any unused, unclaimed or declined portion of the Award will be forfeited, have no cash value and the Sponsors shall have no obligation to provide either an alternative or value-in-kind.
 
  1. Award Winner Confirmation: Before a Selected Entrant is declared the Confirmed Winner, a Selected Entrant must: (a) sign a declaration of compliance with the Application Rules; and (b) within forty-eight hours of the first attempt of contact by the Sponsors, sign the return and Waiver Release of Liability Form (as described below). 
 
If a Selected Entrant cannot be contacted, fails to respond within forty-eight hours of the first attempt of contact by the Sponsors, and/or otherwise fails to comply with the Application Rules, he/she will be considered to have forfeited the Award and will be disqualified and another Entrant may be selected, in the sole discretion of the Sponsors, from the remaining Entries until such time as a contact is made with a Selected Entrant, there are no more eligible Entrants, or there is insufficient time to grant the Award, whichever comes first. In the event that an alternate Selected Entrant is required to be selected, the same above-noted Winner Confirmation process will apply. The Sponsors will not be responsible for failed attempt to contact any Selected Entrant.
 
In the event of a dispute regarding who submitted an Entry, the Entry will be deemed submitted by the holder of the email/social media/email account indicated on the Entry. The Sponsors are not responsible for the failure for any reason whatsoever of a Selected Entrant to receive notification or for their failure to receive a Selected Entrant's response.
 
  1. Release: Before a Selected Entrant is declared the Confirmed Winner of the Award, he/she along with his/her accompanying guest must sign a Competition eligibility and liability/publicity release (a "Waiver Release of Liability Form"); (i) confirming compliance with these Application Rules, (ii) accepting the Award as awarded; (iii) irrevocably releasing the Sponsors and each of their respective directors, officers, employees, agents, representatives, and third parties relating to the Competition (collectively, the "Releasees") from any and all liability for any loss, harm, damages, cost or expense arising out of participation in the Competition process, participation in any educational experience-related activity in affiliation with the Award or the acceptance, use, or misuse of any part of the Award, including but not limited to costs, injuries, losses related to personal injuries, death, damage to, loss or destruction of property, rights of publicity or privacy, defamation, or portrayal in a false light, or from any and all claims of third parties arising therefrom and except where prohibited by law; and (iv) consenting to the Sponsors publicly announcing the Selected Entrant's name as the individual granted the right to attend the Award and using the Selected Entrant's name, city, province and image for promotional and advertising purposes in any and all forms of media and technology now known or later developed whatsoever, without any further compensation to the Selected Entrant or any other person. The Sponsors have the sole authority and discretion to determine whether a Waiver Release of Liability Form has been properly executed and have the sole authority and discretion to accept or refuse a Waiver Release of Liability Form that has not been properly executed. The executed Waiver Release of Liability Form must be returned within forty-eight hours of the date on which the Selected Entrant is notified of his/her selection, failing which the Selected Entrant will be disqualified and their right to the Award forfeited. 
 
  1. Personal Information: By submitting an Entry, Entrants and his/her accompanying guest consent to the collection, use and disclosure of their personal information by the Sponsors for the purposes of the administration of the Competition and with respect to the Selected Entrant, to use for promotional purposes. Information is retained for as long as necessary to fulfill the purpose(s) for which it was collected and to comply with applicable laws. Any inquiry concerning an Entrant's personal information collected and used by the Sponsors should be addressed to info@nationalaccesscannabis.com.
 
  1. Conduct: The Sponsors reserve the right, in their sole discretion, to disqualify any Entrant and his/her accompanying guest found to be: (a) violating the Application Rules; (b) tampering or attempting to tamper with the Entry process or the operation of the Competition and/or the Competition websites or any related promotional or social media website; and/or (c) acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass the Sponsors or any other person.
 
An Entry will be declared invalid if it is late, illegible, incomplete, damaged, irregular, forged, garbled or mechanically or electronically reproduced. If it is discovered by the Sponsors (using any evidence or other information made available to, or otherwise discovered by, the Sponsors) that any person has attempted to use (or attempt to use) multiple names, identities, email addresses and/or any automated, macro, script, robotic or other system(s) or program(s) to submit an Entry more than once or to otherwise participate in or disrupt this Competition, he/she may be disqualified from the Competition, and any future Competitions of the Sponsors, in the sole discretion of the Sponsors.
 
Each Entry must: (i) not contain any nude, sexually explicit, disparaging, discriminatory, libelous or other inappropriate content of any kind (as determined by Sponsors in their sole discretion); (ii) not contain any content that promotes any product or service other than that of the Sponsors; (iii) not contain any language suggesting or encouraging illegal activity; (iv) not contain anything that infringes or that may infringe anyone's rights, including intellectual property rights; (v) contain entirely original materials that have never before been distributed, shown publicly or published, or selected as a winner in any other Competition; (vi) not contain any identifiable third party products and/or trade-marks, brands, logos or copyright, other than those of the Sponsors; and (vii) otherwise comply with the Application Rules.
 
The Confirmed Winner and guest must at all times behave appropriately when taking part in the Award and observe the Application Rules and any other rules or regulations in force at the venue. The Sponsors reserve the right to remove from the venue any Confirmed Winner and/or guest who breaks such rules and/or fails to behave appropriately.
 
*IMPORTANT: You may encourage your friends and other eligible Entrant to "Like" or "Share" your Entry, however, you are not allowed to offer any individual any form of incentive, inducement, prize or chance of receiving any incentive or inducement (including vote exchanging), or prize in furtherance of receiving such individual's "Like" or "Share". Any individual determined by the Sponsors and/or its representatives (in its sole and absolute discretion) to be associated with, engaging in, benefiting from, soliciting, encouraging, and/or participating in any unfair and/or fraudulent voting practices is subject to disqualification (of his/her Entry, as applicable), at the sole and absolute discretion of the Sponsors.
 
  1. General Conditions
 
  1. The Sponsors reserve the right to withdraw, amend, terminate or suspend in whole or in part this Competition at any time without prior notice and without liability if the Sponsors determine that for any reason the Competition process is not capable of being conducted as planned, including without limitation, due to the unsatisfactory quality of the Entries, technical corruption, virus, bugs, unauthorized human intervention or any other technical problems, which may arise from time-to-time, destroying or interfering with the security, fairness, administration, integrity and proper conduct of this Competition. This Competition process will be subject to compliance with the AGLC and MBLL Rules and Regulations.
 
  1. The Sponsors and each of their directors, officers, employees and agents are not liable, jointly or severally, for any incorrect or inaccurate entry information, human errors, technical malfunctions, failures, viruses, omissions, interruptions, deletions or defects of any telephone network, computer online systems, computer equipment, servers, providers, or software, including, without limitation, any injury or damage to Entrants' or any other persons' computer relating to or resulting from submitting an Entry, inability to access the Competition websites; inability to download entry material; theft, tampering, destruction, or unauthorized access to, or alteration of, Entries, data that is processed late or incorrectly or is incomplete or lost due to telephone, computer or electronic malfunction or traffic congestion or telephone lines or the Internet or the Competition websites, human or other errors relating to or in connection with the Entries, including, without limitation, errors which may occur in connection with the administration of the Competition, the processing of Entries, the announcement of the Selected Entrants or in any Competition-related materials, or for any other reason whatsoever.  Proof of submitting an Entry is not considered proof of delivery or receipt.  Selected Entrant and his/her accompanying guest assume liability for injuries caused or claimed to be caused by participating in the Application, or by the acceptance, possession, use of, or failure to receive, or inability to use any part of the Award. Releasees assume no responsibility or liability in the event that the Competition cannot be conducted as planned for any reason.
 
  1. All decisions of the Sponsors regarding any and all aspects of the Application are final and binding on all Entrants.
 
  1. The Application Submission is subject to the applicable laws and is void where prohibited by law.  It is also void in the Province of Quebec. If any provision of these Application Rules is found by any court of competent jurisdiction to be unenforceable, all other provisions will remain in full force and effect.
 
  1. The Application and all related matters shall be exclusively governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any dispute arising hereunder shall be adjudicated solely in the applicable court sitting in the City of Toronto, Ontario, Canada and Entrants submit and attorn to the original and exclusive jurisdiction of those courts in respect of any and all disputes.
 
  1. In the event of any discrepancy or inconsistency between these Application Rules and other statements contained in any Application-related materials, including but not limited to the Application, print or online advertising, these Application Rules shall prevail, govern and control.
 
  1. Participating in this Application constitutes irrevocable acceptance and agreement to all of these rules and regulations.
 
  1. The sponsors reserve the right to seek remedies and damages to the fullest extent permitted by law, including but not limited to criminal prosecution.
